Company formation power of attorney in the UAE
A company formation power of attorney authorises the agent to complete, on the founder’s behalf, the formation steps that may be delegated. We prepare the power of attorney and coordinate its notarization route.
Legal basis
For companies subject to the Commercial Companies Law issued by Federal Decree-Law No. 32 of 2021, the memorandum of association and every amendment to it must be written in Arabic and notarised by the competent authority, otherwise it is void. Notarisation takes place in person or by electronic signature, as the competent authority determines.
Powers in the power of attorney
The power of attorney sets out the formation steps the agent may complete, such as applying to the licensing authority, signing the memorandum of association on the founder’s behalf, and submitting the documents.
The licensing authority determines which steps an agent may complete and any identity verification required from the founders. A power of attorney does not replace that verification.
What we need to prepare the power of attorney
- Founder’s Emirates ID or passport.
- The proposed company details: name, activity, legal form, and licensing authority.
- Agent’s full name, nationality, and Emirates ID or passport number.
Notarization
We coordinate the appropriate notarization route through Dubai Courts or the relevant federal channel, depending on the POA and the principal’s details.
- At Dubai Courts, remote notarization requires a valid Emirates ID.
- If the party holds a passport only, without an Emirates ID, Dubai Courts requires personal attendance before the notary public.
Steps

- You review and approve the draft.
- The principal completes the required notarization or signing step through the applicable channel.
