Power of attorney for the sale and purchase of company shares
A share sale and purchase power of attorney authorises the agent to sell the principal’s shares in a limited liability company, or to buy shares in one in the principal’s name. We prepare the power of attorney and coordinate its notarization route.
Scope
This page covers shares in limited liability companies subject to the Commercial Companies Law issued by Federal Decree-Law No. 32 of 2021. It does not cover securities listed on a financial market.
For companies registered in free zones, share-transfer procedures follow the requirements of the relevant authority, and the POA is drafted for the authority that will receive it.
Legal basis
Article 870 of the UAE Civil Transactions Law, issued by Federal Decree-Law No. 25 of 2025 and in force since 1 June 2026, lists sale among the acts that require a special power of attorney specifying the type of act.
Under Article 79 of the Commercial Companies Law, a partner may assign his share to another partner or to a third party in accordance with the memorandum of association, by an official notarised instrument. The assignment is effective against the company and third parties only from its registration in the commercial register with the competent authority.
Powers in the power of attorney
The power of attorney names the company and the shares, and sets out the powers granted, such as signing the assignment instrument and completing its attestation and registration with the competent authority.
What we need to prepare the power of attorney
- Principal’s Emirates ID or passport.
- The company’s trade licence and memorandum of association.
- The number of shares and the other party’s details, where agreed.
- Agent’s full name, nationality, and Emirates ID or passport number.
Notarization
We coordinate the appropriate notarization route through Dubai Courts or the relevant federal channel, depending on the POA and the principal’s details.
- At Dubai Courts, remote notarization requires a valid Emirates ID.
- If the party holds a passport only, without an Emirates ID, Dubai Courts requires personal attendance before the notary public.
Steps
- Send the documents over WhatsApp or email.

- You review and approve the draft.
- The principal completes the required notarization or signing step through the applicable channel.
